CINEMATIC CD FILM2MUSIC Official Competition Rules and Regulations

Sponsors.

Five Foot Jen, LLC dba Kubimusic

Eligibility.

Anyone 18 years of age or older at the time of entry may participate in the CINEMATIC CD FILM2MUSIC Competition (this "Contest"). This Contest is void where prohibited by law, or where the registration or filing requirements of any federal, state or local jurisdiction have not been complied with. This Contest is not open to employees of Five Foot Jen, LLC and respective parent companies and subsidiaries, including their immediate families.

No purchase necessary to enter or win.

Entrants are neither encouraged nor required to purchase any product or service in order to enter the CINEMATIC CD FILM2MUSIC Competition.

To Enter.

Only one entry per person will be accepted (any subsequent entries will not be considered). To enter, each entrant must visit www.film2music.com and complete the following steps:

(1) Read and agree with these official Contest rules - By registering yourself for this Contest, and/or by submitting an entry into this Contest you are confirming your agreement with these Contest rules in their entirety;

(2) download, sign and complete a CINEMATIC CD FILM2MUSIC Competition Submission Form here: http://www.film2music.com/replace.htm, and include it with your film submission to be eligible (the Submission Form must include your current address and telephone number);

(3) register here: http://www.film2music.com/register.htm, this will open a PayPal webpage.

(4) pay the one-time, non-refundable $9 entry fee there, and click on the "Return to Merchant" button to be forwarded to a download page with MP3 files of the CD tracks, a JPEG image file of an Opening Title Card, a JPEG image file of a Closing Title Card, and a PDF file of the submission form. Download both JPEG images, the pdf file, as well as many mp3s from the CD Cinematic as you like, and then create your own film to the music of one of the tracks of your choice, and

(5) send your completed CINEMATIC CD FILM2MUSIC Competition Submission Form along with your film submission to the following address: Cinematic CD Film2Music Competition, c/o KubiMusic, PO Box 1739, Hollywood, CA 90078. All submissions will become the sole property of the Sponsors and will not be acknowledged or returned. All Contest entries must be submitted on DVD-R in Quicktime (.mov) at the highest quality setting possible. Please send a copy and NOT your Master;

(6) Immediately after mailing the entry, send the following information via e-mail to submit@film2music.com: Your name, the title of your completed film and the date and location of its mailing. A Custom Voting Page will be created for you and the direct URL under which this Custom Voting Page will be accessible once you have completed step (8) will be e-mailed back to you.

(7) Once you have received the Custom Voting Page URL, upload your film in full length, unedited, to a public video upload site of your choice (i.e. www.YouTube.com, www.MySpace.com, or similar) and post a description on the video upload site encouraging viewers to cast their votes for your entry at the Custom Voting URL that was provided to you. Reduce quality as needed, but don't edit the film.

(8) Immediately after posting your film, send the direct URL of your uploaded film via e-mail to submit@film2music.com, so we can verify that it was posted publicly. We will then post your Custom Voting Page on our server and visitors will be able to cast a vote for your film.

Submissions that do not follow the above steps will be disqualified and not be considered for any awards.

Film Submission Requirements.

Each entrant must create their own film using a music track chosen from the CD Cinematic by Kubilay Üner as the sound bed for their film, using no other audio elements. The film must be the exact length of the chosen music track, except opening and closing titles may be added on before and after the music. The track must play without interruption and cannot be edited or modified in any way. The film has to open with no less than three seconds of the supplied Opening Title Card, and it has to close with no less than five seconds of the supplied Closing Title Card. The film's aspect ratio should be 4:3, all other aspect ratios must be letter-boxed. Participants may use any visual medium to create the film, including without limitation, film, animation and digital photography. No Stock/File film or photo footage can be used, all footage must be originally created material. It is the sole responsibility of the entrant to secure written releases from persons, places and any other element depicted in the film that requires clearance by a third party, and to be able to furnish copies of such releases upon request within a reasonable timeframe. No unauthorized use of copyrighted property from any other film or composition may be used. The film cannot contain any commercial endorsements. No nudity, obscenity, profanity or extreme violence is allowed. Creativity and originality are what's most important. The foregoing requirements/restrictions will be strictly enforced and any submissions that do not comply with all of the foregoing requirements will be disqualified. All submitted entries become the sole property of KubiMusic and will not be returned. Do not send us your originals.

Right to Display Film Submissions.

Each entrant agrees and grants Sponsors permission to make available and display/perform and otherwise distribute entrant's name and film submission in all media in perpetuity without any compensation. Each entrant warrants that he/she is free to grant such permission and is unencumbered by any third-party interests in, or claims to, the submitted film and its contents. In addition, entrant agrees that their submission may be submitted by the Sponsors for consideration for national broadcast syndication without further compensation. Except where legally prohibited, submission of an entry into this Contest constitutes permission for Sponsors to use the entrant's film, name, photograph, likeness, voice, address (city and state) and testimonials, in printed, broadcast media or new media, in perpetuity, in any manner they deem appropriate in connection with exhibition and promotion of the film itself or this Contest, without any compensation.

Contest Submissions Deadlines.

Entries must be submitted and received by KubiMusic between August 1, 2006 at 12:01 a.m. PST, and November 1, 2006 at midnight PST, to be eligible to win. The Sponsors are not responsible for any lost, stolen or undelivered entries, or any entries not received within the applicable Contest periods mentioned above.

Participants must further post their entries on public video upload sites like YouTube or MySpace between August 1, 2006 at 12:01 a.m. PST, and November 1, 2006 at midnight PST, and post descriptions encouraging viewers to cast their votes for them at a Custom Voting Page URL provided to them as described above. Participants also must e-mail direct URLs of their uploaded videos once they are publicly viewable to this e-mail address: info@film2music.com

The Sponsors reserve the right (a) to suspend or cancel the Contest in their sole discretion if a computer virus, bug or other technical problem corrupts the administration or security of the Contest, and (b) to select winners from among all eligible entries received prior to the cancellation date. The Sponsors further reserve the right to modify the rules of the Contest in any way or at any time, as long as reasonable notice is given.

Winner Selection.

One (1) Grand Prize Winner, two (2) Second Prize winners, and one (1) Online Audience Award Winner will be selected from among all eligible entries received.

Sponsors will post the submitted direct URLs of all the eligible Cinematic CD Film2Music competition submissions (that meet the requirements of these Contest Rules) on www.cinematicCD.com to be made available to the public for viewing as they are submitted by the filmmakers, but no later than November 3, 2006. Visitors to www.cinematicCD.com will have the opportunity to view and vote on the submissions, plus visitors to the public video sites hosting the various submissions can also be directed to the Custom Voting Pages by the entrants themselves -- Voting will be done by an automated, e-mail based system. Duplicate votes from the same e-mail address will be discarded. -- Voting will be open for each film from the publication of its Custom Voting Page until November 26, 2006 at midnight PST. The film with the most votes will receive the Online Audience Award.

On or after the submission deadline of November 1st, after a possible pre-selection process by the Sponsors depending on the amount of submissions, the Panel of Judges will review the entries and select the winner of the Grand Prize and the two Second Prize winners. In order to collect the relevant prize, each winner will be required to execute (a) an affidavit of eligibility, (b) a promotional release and (c) any relevant tax documentation. The promotional releases to be signed by the winners will again explicitly grant the Sponsors the right to distribute the film that was submitted (or portions thereof) via any and all media (including, without limitation, Internet and television) throughout the universe in perpetuity. Each winner must complete and return all legal documents within five (5) business days after receipt. Noncompliance will result in disqualification of the winner and an alternate winner will be selected by the Sponsors from remaining eligible entries. Prizes will be delivered to each legally qualified winner within 60 days of the Sponsor's receipt of all necessary legal documents.

Judging Criteria.

The entries will be judged by the Panel of Judges based on creativity, innovation, craft and sensitivity to the music. The winning submissions will not necessarily have the highest production value or be the most polished. However, they will be innovative, original, coherent in aesthetic and expression, and of high artistic value.

Prizes.

The Grand Prize winner (the one chosen by the Panel of Judges) will receive US $10,000 (ten-thousand). Each one of the two Second Prize winners (also as chosen by the Panel of Judges) will receive US $1,000 (one-thousand). The Online Audience Award winner (the one chosen by Online Vote) will receive $5,000 (five-thousand). Prizes will be paid by personal check, money order, or international money order. All applicable bank and issuance fees are the responsibility of the winners and will be deducted from the prize amounts. In the event that the Sponsors deem none of the submitted films to be of sufficient artistic quality, the Sponsors reserve the right to not award the Grand Prize.

Winner Notification.

The winners will be notified by e-mail, phone or first-class mail on or before December 1st, 2006. If a winner does not respond within five (5) business days after the date of written notice from the Sponsors, an alternate winner shall be selected. The Sponsors shall not be liable for (1) failed, returned or misdirected notifications based on inaccurate information provided by the winner (2) entries and responses to winner notifications which are lost, late, incomplete, illegible, unintelligible, misdirected, damaged or otherwise not received by the intended recipient in whole or in part or for computer or technical error of any kind. The Grand Prize winner and the Online Audience Award winner will be given five (5) business days from the first day of notification to respond to claim prize(s). A non-response by the winner or non-receipt of notification response after the specified five (5) business days will be considered a forfeiture of the prize and an alternate winner shall be selected from the pool of eligible entries. If an entrant is found to be ineligible for any reason, an alternate winner shall be selected from the pool of eligible entries.

Odds of Winning.

Odds of winning depend on the number of entries received. Entries will not be limited, except as expressly provided above.

Miscellaneous.

By participating in this Contest, entrants agree to be bound by these rules and by the decisions of the Sponsors, which are final in all matters relating to this Contest. Prizes are nontransferable. Arrangements for the fulfillment of all prizes will be made by the Sponsors. Receipt of any prize is conditioned upon compliance with any and all applicable federal, state and local laws, rules and regulations. Winners of any prize(s) will be solely responsible for payment of all applicable US federal, state and local taxes, as well as any and all federal, state and local taxes of their home country, if applicable.

Releases.

By participating, entrants agree that the Sponsors and those involved in the development, production (including prize suppliers), implementation and distribution of this promotion and their respective parent companies, affiliates, subsidiaries, service providers, and agencies, and their directors, officers, agents, employees, attorneys, and any other person or entity associated with such entities and/or promotion shall not be liable for any and all claims, damages, losses or injuries, including any third party claims, arising from or relating to, in whole or in part, production of any film submission or the Contest in general, including but not limited to entry and participation in the Contest and acceptance, possession, use or misuse of the prizes. All entrants further agree that they will indemnify Sponsors from any and all third party claims, damages, losses or injuries, arising from or relating to the Contest,, including the attorneys' fees related thereto, arising in whole or in part from the acts or omissions of such Entrant. The Sponsors shall not be responsible for any technical malfunctions of the telephone network, computer on-line system, computer equipment, software, program malfunctions or other failures, delayed computer transactions or network connections that are human, mechanical or technical in nature, or any combination thereof, including any injury or damage to entrant's or any other person's computer related to or resulting from downloading as part of this Contest. Any person attempting to defraud or in any way tamper with this Contest will be ineligible for prizes and may be prosecuted to the full extent of the law. This Contest shall be governed by California law. By participating in this Contest, entrants agree that California courts shall have exclusive jurisdiction over any dispute or litigation arising from or relating to this Contest and that venue shall be only in Los Angeles, California, United States of America.

The Participants' names and submissions may be posted on www.cinematicCD.com and/or www.film2music.com and/or www.kubilayuner.com. General Conditions.

This Contest is void where prohibited by law and is subject to all applicable Federal, State, and local laws and regulations. In the event of non-compliance by the winner with the official rules of this Contest, an alternative winner may be awarded the respective prize. Return of any prize or prize notification as undeliverable will result in a disqualification and an alternate winner may be selected. Winners are solely responsible for all taxes on prizes, as well as any and all other liabilities, financial and otherwise, resulting directly or indirectly from winning a prize in this contest. All incidental expenses will be the responsibility of the Winner. The official language of this Contest is English. All instructions, rules and regulations, and any and all communications will be solely provided and conducted in English. The following Contest is governed by U.S. law.
